Website Terms of Use

1. Scope and Acceptance

These Website Terms of Use (these “Terms”) govern access to and use of sutyr.com, lab.sutyr.com, and any other website operated by Sutyr Inc. (“Sutyr,” “we,” “us,” or “our”) that links to these Terms (collectively, the “Sites”). Sutyr Inc. is a corporation incorporated under the Canada Business Corporations Act, Federal Corporation No. 1760760-1, with its registered office in Montreal, Quebec, Canada.

By accessing any of the Sites, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Sites.

These Terms do not govern the Sutyr billing orchestration platform at app.sutyr.com. Use of the Sutyr platform is governed by separate terms. If you create a platform account, the applicable Platform Terms of Service or Master Services Agreement supersedes these Terms with respect to your use of the platform.

For information about how Sutyr collects and processes personal data, see the Sutyr Privacy Policy at sutyr.com/legal/privacy. These Terms do not create any data processing obligations beyond those described in the Privacy Policy.

The Sites are intended for business users, developers, and professionals evaluating Sutyr’s services. The Sites are not directed to individuals under 18 years of age.

2. Description of the Sites

The Sites provide information about Sutyr and its products, including marketing content, product documentation, blog posts, legal documents, and open-source developer tools. The Sites are provided free of charge and may be modified, updated, or discontinued at any time without notice.

3. Intellectual Property

All content on the Sites — including text, graphics, logos, images, design elements, and documentation — is the property of Sutyr Inc. or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws (collectively, “Content”). Content does not include open-source code governed by its own license.

“Sutyr” and the Sutyr logo are trademarks of Sutyr Inc. You may not use the Sutyr name, logo, or trademarks without Sutyr’s prior written consent, except as permitted by applicable trademark law for purposes of truthful reference.

Nothing in these Terms restricts your rights under any applicable open-source license. Where Content on the Sites includes or references code released under an open-source license (such as the Apache License 2.0), that code is governed by its respective license, not by these Terms.

4. Webhook Lab and Open-Source Tools

Sutyr hosts open-source developer tools on the Sites, including Webhook Lab at lab.sutyr.com. The source code for these tools is available on GitHub under the Apache License 2.0 (or the license specified in the applicable repository).

The Apache License 2.0 governs the source code in the repository. These Terms govern your use of the hosted instance at lab.sutyr.com. If you self-host the code from the public repository, these Terms do not apply to your self-hosted instance — only the applicable open-source license applies.

When using hosted open-source tools on the Sites, you agree not to:

• Use the webhook firing functionality to send events to any URL that you do not own or have explicit authorization to test.
• Use the hosted instance to conduct denial-of-service attacks, send malicious payloads, or otherwise cause harm to third-party systems.
• Use the hosted instance in any manner that could damage, disable, or impair Sutyr’s infrastructure or interfere with other visitors’ use of the Sites.

Sutyr may rate-limit or suspend access to any hosted open-source tool at any time and for any reason without notice.

Sutyr provides no warranty, support, or uptime guarantee for hosted open-source tools. They are provided as-is for the benefit of the developer community.

5. Acceptable Use

When using the Sites, you agree not to:

• Use any automated system, software, or script to access, scrape, data-mine, or bulk-extract Content from the Sites, except as expressly permitted by an applicable open-source license or by Sutyr’s published API documentation.
• Attempt to gain unauthorized access to any Sutyr system, server, or network connected to the Sites.
• Use the Sites to transmit malicious code, interfere with the Sites’ operation, or degrade the experience for other visitors.
• Reproduce, distribute, or publicly display Content from the Sites (other than open-source code governed by its own license) without Sutyr’s prior written consent, except as permitted by applicable fair dealing or fair use provisions.
• Use the Sutyr name or trademarks to imply endorsement, affiliation, or sponsorship without Sutyr’s consent.
• Use the Sites for any purpose that violates applicable law.

6. No Reliance and Disclaimers

The Sites contain marketing materials, product descriptions, feature overviews, pricing indications, and other informational content. This content is provided for general information purposes only and does not constitute a binding offer, representation, or warranty regarding Sutyr’s products or services.

Product features, pricing, availability, and specifications are subject to change without notice. The information on the Sites may not reflect the most current state of Sutyr’s products or services. To the extent that any content on the Sites is inconsistent with the terms of an executed Master Services Agreement or Platform Terms of Service, the executed agreement governs.

Technical documentation published on the Sites is provided for informational purposes and may not reflect the most current version of Sutyr’s products. Customers using the Sutyr platform should refer to the documentation available within the platform for authoritative technical guidance.

THE SITES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. SUTYR DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUTYR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

SUTYR’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS AND YOUR USE OF THE SITES SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

These limitations apply regardless of whether Sutyr has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, Sutyr’s liability is limited to the maximum extent permitted by law.

8. Third-Party Links

The Sites may contain links to third-party websites, products, or services. Sutyr does not control and is not responsible for the content, privacy practices, or availability of any third-party website. A link from the Sites does not imply endorsement by Sutyr. You access third-party websites at your own risk.

9. Changes to These Terms

Sutyr may update these Terms at any time by posting the revised version at sutyr.com/legal/terms with an updated effective date. Your continued use of the Sites after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree with a change, you should stop using the Sites.

10. Governing Law and Contact

If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force and effect.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties irrevocably attorn to the non-exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.
